These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, software products, and related services (collectively, the "Services") provided by Tandan Software Solutions FZCO ("TSS", "we", "us", or "our"), a company registered in the International Free Zone Authority (IFZA), Dubai, United Arab Emirates.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Definitions

  • "Services" means all products, applications, websites, and services provided by TSS
  • "User" or "you" means any individual or entity that accesses or uses our Services

You retain ownership of any User Content you submit through our Services. By submitting User Content, you grant TSS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

If you provide feedback, suggestions, or ideas regarding our Services, you agree that TSS may use such feedback without any obligation or compensation to you.

6. Purchases and Payments

If you make purchases through our Services:

  • You agree to pay all fees and charges associated with your purchases
  • All payments are processed by secure third-party payment processors
  • Prices are subject to change with reasonable notice
  • You are responsible for any applicable taxes
  • Refund policies are specific to each product and will be communicated at the time of purchase

6.1 In-App Purchases and Subscriptions

Some of our applications may offer in-app purchases or subscriptions. These transactions may be processed through the Apple App Store, Google Play Store, or other platform-specific payment systems. Such purchases are also subject to the terms and policies of the respective platform.

We do not warrant that:

  • Our Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using our Services will be accurate or reliable
  • Any defects will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TSS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

Our total aggregate liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you, if any, to TSS during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TSS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Any User Content you submit

11. Termination

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use our Services will immediately cease
  • Provisions of these Terms that by their nature should survive will continue to apply
  • You may request deletion of your data in accordance with our Privacy Policy and Data Deletion procedures

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Dubai, United Arab Emirates.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website with a new "Last updated" date
  • Sending an email notification to registered users
  • Displaying a notice within our Services

Your continued use of our Services after any changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TSS regarding your use of our Services and supersede all prior agreements and understandings.
